The transaction values the Animoca Brands subsidiary at $18 million and follows a previous 51% majority purchase in October 2025. AlphaTON now moves to consolidate ownership, aiming to integrate GAMEE’s large user base into its web3 gaming operations.
Payment Structure Includes Cash, Shares, and Token Purchases
AlphaTON delivers $1.5 million in cash plus approximately $2 million in shares and warrants as upfront consideration. Within 90 days, the firm will buy $2 million worth of GMEE tokens directly from the open market. Performance-linked payments add up to $7.5 million over the next two years, contingent on GAMEE meeting specific EBITDA targets.
GAMEE brings 119 million users to the deal, with 61 million of those active within the Telegram ecosystem. The company generated roughly $3.5 million in revenue in 2025, providing a baseline for growth under the new structure. AlphaTON pairs the acquisition with a strategic partnership with Animoca Brands, the original parent company, to deepen its presence in blockchain-based social gaming across Telegram, iOS, and Android.
GAMEE’s existing leadership stays in place, with founder Bozena Rezab assuming the role of Head of AlphaTON Gaming. Martin Zakovec and Miroslav Chmelka continue as CEO and CTO, respectively. The arrangement keeps operational stability while aligning the company’s direction with AlphaTON’s broader gaming initiatives.
